These Terms constitute a legally binding agreement between you and Equily, a company incorporated under the laws of India.

Equily HRMS is a comprehensive human resource management system designed for Indian businesses. Our Service includes but is not limited to:
- Employee management and database
- Payroll processing and compliance
- Attendance and leave management
- Performance management
- Recruitment and onboarding
- AI-powered HR chatbot (AskEquily)
- Brand customization and white-labeling
- API integration capabilities
3. User Accounts and Registration
3.1 Account Creation
To use our Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.
3.2 Account Security
You are responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
4. Acceptable Use Policy
You agree to use our Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate any applicable laws or regulations
- Infringe on the rights of others
- Transmit harmful or malicious code
- Attempt to gain unauthorized access to our systems
- Use the Service for any illegal activities
- Interfere with the proper functioning of the Service

5. Subscription and Payment Terms
5.1 Subscription Plans
We offer various subscription plans with different features and pricing. All prices are in Indian Rupees (INR) and include applicable taxes.
5.2 Payment Terms
Subscription fees are billed in advance on a monthly or annual basis. Payment is due immediately upon subscription activation.
5.3 Free Trial
We offer a 15-day free trial with no credit card required. The trial period begins upon account creation and ends automatically after 15 days.
6. Data and Privacy
Your use of our Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We are committed to protecting your data in compliance with Indian data protection laws.
7. Intellectual Property Rights
7.1 Our Intellectual Property
The Service and its original content, features, and functionality are owned by Equily and are protected by Indian and international copyright, trademark, and other intellectual property laws.
7.2 Your Content
You retain ownership of any content you upload to our Service. By using our Service, you grant us a limited license to use, store, and process your content as necessary to provide the Service.
8. Service Availability
We strive to maintain 99.9% uptime for our Service. However, we do not guarantee uninterrupted access and may perform scheduled maintenance or updates.
9. Limitation of Liability
To the maximum extent permitted by Indian law, Equily shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
10. Indemnification
You agree to indemnify and hold harmless Equily from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
11. Termination
11.1 Termination by You
You may terminate your account at any time by contacting our support team. Termination will be effective at the end of your current billing period.
11.2 Termination by Us
We may terminate or suspend your account immediately if you violate these Terms or engage in fraudulent or illegal activities.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts in Gurgaon, Haryana.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.
